THE STATES are asked to decide whether they are of opinion -

to appoint Deputy Jeremy Laurence Dorey as a States Director of Waterfront Enterprise Board Limited for a period

expiring on 31st March 2000 and to authorise the Greffier of the States to notify the Company of the States' decision.

Report

On 12th December 1995 the States adopted a proposition of the Policy and Resources Committee (P.156/95 as amended) approving the establishment of the Waterfront Enterprise Board as a separate legal entity in accordance with the Memorandum and Articles of Association set out in the Appendix to the report of the Policy and Resources Committee dated 1st November 1995 accompanying that proposition, and agreed to appoint Waterfront Enterprise Board Limited as a development agency of the States for an initial ten year period.

The Memorandum and Articles of Association provide that, unless and until determined by the Company by ordinary resolution, the number of Directors shall be seven, with three States Directors, three Non-States Directors and the Managing Director. The States Directors and Non-States Directors are appointed by the States and the Managing Director is appointed by the Directors.

The States Directors were initially appointed for a fixed period expiring on 31st March 1997 and thereafter are to be appointed for fixed periods of three years expiring on 31st March in the relevant year or until such earlier date as the States may determine.

A replacement States Director is required for the late Senator V.A. Tomes, who was appointed by the States together with the Connétable of St. Helier and Deputy D.R. Maltwood, to serve on the Board for a period expiring on 31st March 2000. The Committee recommends the appointment of Deputy J.L. Dorey as the replacement States Director to complete the late Senator Tomes' period of office.

Waterfront Enterprise Board Limited and the Public Services Committee have a close working relationship which was fostered by the presence on the Board of the late Senator Tomes, as President of the Committee. This relationship would be maintained with the appointment of Deputy Dorey.
