1. Ports of Jersey Incorporation

The  Panel  met  with  the  Minister  for  Treasury  and  Resources,  the Treasurer of the States, and the Chief Officer and Assistant Director, Economic Development Department to discuss the Memorandum of Understanding (MOU) for the Ports of Jersey Incorporation. The Panel shared a paper with the Minister detailing a number of suggestions for improvements to the latest draft (version 4.0) of the MOU, which was discussed at length. Topics covered included:

  • the definition of materiality
  • the role of the Ports Policy Group
  • the appointment of directors
  • the Strategic Business Plan and due diligence
  • Corporate Social Responsibility and stewardship
  • the presentation of accounts
  • key performance indicators
  • Important Management Decisions
  • resources and support for the Shareholder function
  • remuneration and benchmarking

The  Minister  agreed  to  consider  all  of  the  Panel's  suggestions  for amendments with a view to providing an updated version of the MOU in time for the debate on the Draft Air And Sea Ports (Incorporation) (Jersey) Law 201-, expected to take place on 2nd June 2015. The Minister  also  took  away  another  paper  with  suggested  drafting amendments  to  the  Memorandum  and  Articles  of  Association  for consideration.
