REPORT
Decision(s):
Article 27 of the Memorandum and Articles of Association of the Company details how the Board shall advertise and select any vacancies of the Directors and sets out the requirements for Ministerial approval before any appointments shall be made. The selection of this candidate has been carried out in accordance with the requirements by this Article.
Following recent departures from the Company's Board this appointment is required to strengthen the current Board by filling a skills gap identified in the Board Effectiveness review and ensuring the Board can operate to the required standards.
The Minister for Treasury and Resources hereby notifies the States that she has agreed to the following –
• To approve the Company's recommendation to appoint Elaine Bailey as a Non-Executive Director.
• To present this decision as a report to the States Assembly for a period of 10 days as required by the Memorandum of Understanding between the Company and the Minister for Treasury and Resources.
• To notify the Company Secretary when the 10 day period has passed.
Elaine Bailey's biography is attached as an Appendix to this Report.
Financial and manpower implications
There are no resource implications for the Government of Jersey arising from this decision. The Director will be remunerated directly by the Company.

APPENDIX
Biography: Elaine Bailey
Elaine Bailey has recently retired as Chief Executive of The Hyde Group, a London based Housing Association with 50,000 properties and a development programme approaching 1,500 units per annum.
Elaine has 15 years Executive Board experience working with Non-Executive Directors; and 7 years as a trustee and 2 years as Committee Chair of a £50 million turnover charity.
She has worked in the construction, criminal justice, government services and housing sectors, working across private, public and not for profit sectors. Elaine has knowledge and experience of good governance and risk, and has worked in regulated environments.
She has broad management skills, experience of running large high performing service operations with pull P+L responsibility; and a proven ability to position businesses to maximise and deliver sustainable growth. Coincidentally, Elaine also has personal connections with Jersey and has been visiting the Island frequently for the last 30 years.
