REPORT
Decision(s):
Article 27 of the Memorandum and Articles of Association of Andium Homes Limited ("the Company") details how the Board shall advertise and select any vacancies of the Directors and sets out the requirements for Ministerial approval before any appointments shall be made. The selection of these candidates has been carried out in accordance with the requirements of this Article.
Following recent departures from the Company's Board these appointments are required to strengthen the current Board by filling a skills gap identified in a 2018 Board Effectiveness review and ensuring the Board can operate to the required standards.
The Minister for Treasury and Resources hereby notifies the States that she has agreed to the following –
• To approve the Company's recommendation to appoint Julian Box and Jonathan Day as a Non-Executive Directors.
• To present this decision as a report to the States Assembly for a period of 10 days as required by the Memorandum of Understanding between the Company and the Minister for Treasury and Resources.
• To notify the Company Secretary when the 10 day period has passed.
Julian Box and Jonathan Day's biographies are attached as an Appendix to this Report. Financial and manpower implications
There are no resource implications for the Government of Jersey arising from this decision. The Director will be remunerated directly by the Company.

Biographies
Julian Box
Julian Box has nearly 35 years' experience in helping businesses streamline their organisation through use of technology and has built, run and sold a number of business. He is currently Co-Founder and CEO of Calligo Ltd., a global data focussed managed service provider, and Founder and Chairman of Vybbe Ltd., an App-based business that captures quality of human connections within organisations. He has been a Non- Executive Director of Jersey Business Ltd. and Digital Jersey, he was involved as one of the initial trustees of Digital Jersey. He is also currently Vice-Chair of Governors at Jersey College for Girls.
Jonathan Day
Jonathan Day is CEO of Binance Jersey Ltd., Co-Founder of Blockchain Jersey and a Non-Executive Director of Jersey Business. He is a qualified accountant. Jonathan's previous roles have always had a strong focus on technology and the implementation of systems through close working with people to ensure productivity benefits are achieved. His previous positions have included being group Finance Director of Jersey Telecom and other board level roles including Operations Director for the Littlewoods group in the UK.
